The Board of Directors would like to thank everyone who participated in the recent vote and for your patience while the ballot certification and review process was completed.
During the second ballot review conducted on 8/3, the Board and committee members identified a small number of ballots with questions regarding proxy documentation. The review also revealed that incorrect guidance had been provided regarding when a proxy was required to return a ballot. We recognize that this created confusion, and we appreciate everyone's patience as we worked through the review to ensure the results were accurate.
Following a thorough review of all ballots, the Board and the committee agreed that the vote results could be certified.
Certified Results
Election Restructure: Did Not Pass
Committee Structure Modernization: Did Not Pass
One-Time Dues Increase: Did Not Pass
Of note, after completing the review, the Board and committee determined that legal counsel was not necessary, and no additional or unapproved legal expenses were incurred by the Association.
This process also highlighted the need for clearer guidance regarding proxy procedures. The Board intends to place this topic on the agenda for a future meeting so that members can discuss and establish a clearer process for future elections and votes.

Ballot Review: August 3, 2026 Board of Directors & Committee Meeting Minutes

Purpose of Meeting
The meeting was called to review questions that arose during the certification of the July membership vote, discuss ballot discrepancies, evaluate voting procedures, and consider recommendations for future elections.
Ballot Review
The committee reviewed several ballots that required clarification during the vote certification process.
It was confirmed that all absentee ballots had previously been organized in the same order as the official counting sheets. Duplicate ballots submitted by the same member were grouped together, and only the ballot bearing the most recent date was counted. Earlier versions were excluded.
It was also confirmed that members who submitted both an absentee ballot and voted in person had only their in-person ballot counted, consistent with the voting procedures established before the election.
Ballot Discrepancies Reviewed
The committee discussed several ballot situations requiring interpretation.
In-Person Ballot Signed for an Absent Member
One ballot involved a member who submitted an absentee ballot while the member's spouse completed an in-person ballot and signed for the absent member.
After discussion, the group agreed this in-person ballot was not valid because the member whose vote was cast was not physically present at the meeting.
Proxy Ballot Review
The committee also reviewed a ballot that had been transferred by proxy to another member.
Following discussion and review of the Association's bylaws regarding membership, the committee determined that the individuals signing over the proxy were not recognized membership holders authorized to transfer voting rights. Based on this interpretation, the ballot was determined to be invalid.
Proxy Voting Discussion
The committee noted that several ballots had been submitted through proxy.
The discussion identified that future elections would benefit from a clearer definition of what constitutes a valid proxy under the Association's bylaws.
The group discussed that a proxy is intended to authorize another Association member to cast a vote on behalf of a member, rather than simply allowing another individual to deliver a completed ballot.
The committee further discussed that some members may have misunderstood this distinction due to statements made during the election process suggesting a proxy was necessary to hand-deliver another member's ballot. The committee agreed this was not the intended interpretation of the proxy provisions.
The committee also agreed that these misunderstandings did not change the outcome of the election but did identify areas where voting procedures could be clarified for future elections.
Availability of Voting Information
The committee agreed that the Board fulfilled its responsibility by making the proposed bylaw amendments, supporting documentation, ballots, and voting instructions available within the required timeframes.
It was further acknowledged that each homeowner remained responsible for reviewing the available information and making an informed voting decision, regardless of how the ballot was received.
Future Voting Procedures
The committee discussed several ideas intended to improve future elections and reduce opportunities for confusion or discrepancies.
Topics included:
Encouraging members to personally return their own ballots directly to the Board or the Association's management company.
Reducing or eliminating third-party ballot collection whenever possible.
Assigning membership identification numbers for use on ballots to better verify voting eligibility.
Developing written voting standards and procedures to accompany future elections.
No final recommendations were adopted during this meeting. However, the committee agreed that future Boards should establish more detailed election procedures before conducting future membership votes.
Election Results
The committee agreed that the certified vote totals should be shared with the membership along with a statement explaining the ballot review process and the types of discrepancies that were identified and resolved during certification.
Legal Review
The committee discussed whether legal counsel should be consulted regarding the election.
After reviewing the ballot discrepancies, the group agreed that legal counsel was not necessary because:
Duplicate ballots were counted only once using the most recent dated ballot.
In-person ballots superseded absentee ballots when both were submitted.
Ballots determined to be invalid due to membership or voting eligibility were excluded from the certified count.
The ballot review process addressed the identified discrepancies prior to certification.
President Attendance
The committee discussed the continued absence of President Clay Rogers from Board activities.
After discussion, those present agreed to request a Special Meeting and hearing to allow President Rogers the opportunity to appear before the Board in person regarding his continued service.
The proposed meeting date is the third Tuesday of August (8/18), subject to confirmation of meeting space availability at the church.
The Secretary will contact the church to determine room availability.
